GENERAL INFORMATION

GlobalTel is a division of InterActive Media Technologies, Inc., a telecommunications services company, based in Boca Raton, Florida, USA. GlobalTel has more than 180 offices in more than 95 countries and serves customers in more than 200 countries. The telecom services offered include Universal International Free Number (UIFN) Direct Dial service, CallBack Service, GlobalTel USA 800 number service - a US & Canada domestic service, CallMeBack Prepaid Phone Cards for any country, and switching and carrier services for resellers and phone card distributors.
GlobalTel’s network connects to seven tier one carriers using ISDN PRI for fastest connectivity and highest quality. GlobalTel’s network consists of five Class three and four, Lucent and Dialogic switches connected to various Tier One carriers via TDM and Cisco-based VoIP circuits using BellSouth and UUNET for superior connectivity.
GlobalTel just finished adding a 0C12 which allows for 336 T1 circuits, and we are currently working on adding a DACS (Digital Access Cross Connect Switch) to our network.

GLOBALTEL SERVICES

CallBack SERVICES. GLOBALTEL EXPORTS US DIALTONES AND LOW US TELEPHONE RATES TO THE REST OF THE WORLD through its CallBack services. International telephone rates are artificially high in almost every country, except in the United States. Even with the current trend toward the privatization of government owned industries, many governments are still retaining control and are imposing heavy taxes on the telephone industry in order to raise cash. Many countries continue to forbid competition for telephone service and are now interfering with and inhibiting the growth of the Internet. GlobalTel capitalizes on the market created by these artificially high rates, by exporting a US dial-tone, with low US rates, to virtually every country. The service is available to all GlobalTel customers.

DIRECT DIAL SERVICES. GlobalTel customers in more than 60 countries, the US & CANADA use direct dialing from any telephone at low us rates. GlobalTel customers can now DIRECT DIAL FROM more than 60 countries TO any country by dialing through an in-country toll free 800 number. The rates are LOW US RATES. For a few countries the rate is a little higher than CallBack rates, but for others THE RATE IS EVEN LOWER THAN CALLBACK RATES.

This 800 NUMBER DIRECT DIAL service was developed pursuant to international telecom treaties and agreements between participating countries and major carriers. This 800 number service is known in the telecommunications industry as the UNIVERSAL INTERNATIONAL FREE NUMBER service (UIFN). It is the equivalent of the 1+800 service in North America which can be used from any telephone in the country. The UIFN service is a global telecom project of the International Telecommunications Union (ITU). The ITU arranges, mediates and fosters negotiations between governments and carriers. The goal is to establish DIRECT DIALING from every country at low rates.

As additional countries agree to the establishment of these numbers, GlobalTel offers the service to its customers. It is not yet known how many countries will permit the establishment of 800 number direct dialing. Hopefully the revenue sharing arrangements will generate enough revenue to make it attractive to most countries.

CALLMEBACK PREPAID PHONE CARD SERVICE, like CallBack, is available in every country.

THE GLOBALTEL USA 800 NUMBER SERVICE offers direct dialing from any telephone in the US, Canada and in the US territories of the US Virgin Islands, Puerto Rico, Guam and Western Samoa. The service is available to all GlobalTel customers when they are in or traveling in these countries.

GlobalTel is a true "e-commerce" company, in that over 90% of its communications and transactions with its agents, customers and suppliers are by, through and based upon the Internet. Agents and customers enjoy online billing and customer service. GlobalTel finds its new customers though the World Wide Web. GlobalTel agents have websites designed so new customers can be informed and apply for service. Customers pay their bills by international credit cards and access current and past billing information online through secure Internet pages.

GLOBALTEL'S STAFF

GlobalTel is staffed with men and women from many countries with high computer and Internet skills. The staff includes engineers, accountants and lawyers, software writers, website builders, people with advertising and marketing experience and others. GlobalTel's staff members have completed thousands of hours of computer training and seminar attendance over the past few years. The Company has an ongoing program for continuing education and training. A good cross training program is in place.

GLOBALTEL'S WORLDWIDE NETWORK IS CONSTANTLY GROWING

GlobalTel's telecom network is being connected to the networks and switches of additional carriers at a rapid pace. This creates multiple options as to the rates to be charged and the quality of service to be provided.

Today, GlobalTel markets DIRECT DIAL SERVICES in over 60 countries, including, the US & Canada, and the US territories of Puerto Rico, US Virgin Islands, Guam and Western Samoa. This number will increase to 68 countries in the near future. Prior to 1999, international CallBack service had been the core business of the Company.

GlobalTel's staff of software writers and computer engineers are constantly improving and expanding existing systems and services. In addition to the DIRECT DIAL SERVICES, GlobalTel continues to market CallBack services, provides switching services for US domestic phone cards, and markets phone cards to almost every country.

GLOBALTEL HAS NOT ONLY KEPT PACE WITH THE INDUSTRY, BUT HAS BEEN INVENTIVE AND INNOVATIVE

GlobalTel's CallMeBackNet Prepaid CallBack Phone Cards are unique. These are marketed through globally and enables GlobalTel to serve the non-credit card market in any country.

IN AUGUST, 2000 THE COMPANY FILED A PATENT APPLICATION FOR A WAP (Wireless Application Protocol) INVENTION. The technology department has been working on several wireless application protocols services for the past two years, and these services will be ready for marketing later this year.

GLOBALTEL'S TECHNOLOGY DEPARTMENT HAS DEVELOPED ANTI-BLOCKING EQUIPMENT AND PROCEDURES FOR COUNTRIES STILL USING CALLBACK, making it possible for GlobalTel to market CallBack in countries in which the local PTT blocks or otherwise interferes with CallBack service.

GLOBALTEL'S HISTORY

In June of 1991, the Company was founded by its President and CEO, Steven M. Williams, as a research and development company, focusing on computer telephony products and services designed for switching high volume voice and data transmissions. These products and services were marketed to international long distance telephone companies and to broadcast companies.

In 1992 the Company entered the international telecommunications market by entering into joint venture and product licensing agreements with companies in Brazil for its switching and call handling products.

In April of 1994, the Company acquired GLOBALTEL, a start-up CallBack operation founded in 1993. Two other smaller CallBack operations have been acquired since then. The research and development arm of the Company was phased out in the spring of 1996 and all resources are focused on telecommunications services market.

For each of the years, 1995, 1996 and 1997, the Company was ranked as number (3) by the South Florida Business Journal, in its annual "Fast Tech 40 List". In 1998 it was number (5), and in 1999 it was number (6) on that list. The list ranks the fastest growing high tech companies in South Florida.

In 1997 the Company positioned itself for rapid growth. New switching equipment was acquired. Additional multilingual personnel and new advanced technology for operations and billing systems were added.

In the December of 1997, the Company entered the US domestic long distance market by offering switching services to US domestic prepaid phone card distributors. The marketing of these services was highly successful and this service continues to be a source of significant revenue for the Company.

In the spring of 1999, the Company moved its offices to a newer and larger location and again revamped and upgraded every phase of the operations with new switching, new computers, additional personnel, and a new billing system. These improvements increased the capacity of traffic the Company is able to handle by ten fold.

In the Summer of 1999, the Company began marketing Direct Dial services in 28 countries. This service, known as Universal International FreePhone Numbers (UIFN) is available to every GlobalTel customer and has proven to be very popular. The service is being offered in additional countries, with new countries being added to the list each month. The Company also developed and began marketing Prepaid calling cards, utilizing the CallBack switches. This services is marketed under the label of CALLMEBACK.NET. Both of these services are becoming a significant source of revenue for the Company.

GlobalTel represents and offers to its customers, the services of the top and major carriers in the US and Canada. Each carrier has unique abilities to reach the far corners of each country in the world. Each GlobalTel customer benefits from this multiple carrier arrangement, since any interruption in service or quality can be solved instantly by switching to another carrier.

In February of 2001, additional switches were installed, the latest switching equipment offered by CISCO, was added which enabled GlobalTel to offer VOIP service to it Customers.

In August of 2001, the Company expanded again by moving to a larger office suite in a new office building and expanded it's Miami switching center by an additional 30% to make way for additional equipment.

In December 2003, the Company finalized a two year plan to expand its switching facilities, to include the latest in VoIP soft-switching technology and connect a DACS to its large network of 12 Voiceware and Lucent Excel switching platforms, with over 5400 ports of call processing equipment that is capable of processing thousands of simultaneous conversations.

INDUSTRY INFORMATION

GlobalTel operates under the approval of the U.S. Federal Communications Commission (FCC) with a Section 214 license and maintains an IXC license from the Florida Public Service Commission.

Telecommunications is one of the largest industries in the world. It was estimated that world telecom revenues were $800 billion in 1996 and would grow 50 percent, to $1.2 trillion by the year 2000. U.S. companies control about 30 percent of the world trade in telephone services.

GlobalTel's telecom services are used by Shell Oil, American Express, The World Bank, The United Nations, ambassadors, consulate and embassy employees, trade promotion and other international organization officials, corporate executives, professional firms, export-import companies and others engaged in international business and travel. Letters of reference are available.

On February 15, 1997, 69 countries that represent more than 90% of the world telecommunications revenue entered into a landmark World Trade Organization (WTO) accord. The WTO accord seeks to open telecommunications markets around the globe. The US became the first country to implement the agreement, when the US Federal Communications Commission (FCC), on November 25, 1997, agreed to make it easier for overseas telephone carriers and satellite operators to compete in the US. The FCC commissioner described the significance of the WTO Accord as "staggering". Consumers will see the benefits of competition through lower international calling rates and increased innovation. US domestic telecommunications companies will have enormous business opportunities as barriers to foreign markets are dismantled. The accord, which took effect on January 1, 1998, basically ends a 60-year tradition of telecommunications monopolies and closed markets.

"International CallBack", was approved by the U.S. Federal Communications Commission in 1995, after opposition from several of the world's major carriers. GlobalTel uses high tech computer telephony switching to export US dial tones to every country. GlobalTel customers in over 200 countries make international calls to every country.

In some countries, CallBack, as well as other competing telecommunications services, is still either illegal or discouraged, but it is widely used in literally every country in the world by government and military offices, officials and personnel. Opposition to competition, by either governments or monopolistic telephone companies, is contrary to the spirit and rules of the WTO accord of February 15, 1997. Monopolies and democracy do not go together and the global trend today is toward freedom and democracy and the abolishment of monopolies and other barriers to trade, travel and communications. In countries where the UIFN 800 NUMBER DIRECT DIALING is available, the legal issue between countries and the CallBack industry may become a non-issue, since revenue from the use of the 800 number is shared by the participating countries and their telecom industries.

Low telephone rates are increasingly important in today's growing global economy. Low rates help strengthen the ties of family and friends, promote communication, unity and peace and make it easier to promote exports and improve trade balances between nations.
